TERMS OF SERVICE
PREAMBLE
1. INTRODUCTION AND SCOPE
1.1 These Terms of Service (“Terms”) constitute a legally binding agreement between the User and LegalGen, governing access to and use of LegalGen’s legal document generation platform (“Services”).
1.2 By accessing or utilizing the Services, the User explicitly acknowledges and agrees to be bound by these Terms, including any subsequent modifications.
2. SERVICE DESCRIPTION
2.1 LegalGen provides an automated platform designed to generate professional legal writing templates for legal professionals, businesses, and individuals seeking efficient legal drafting solutions.
2.2 The Services are intended to facilitate document preparation and should not be construed as legal advice or a substitute for professional legal consultation.
3. USER OBLIGATIONS AND RESPONSIBILITIES
3.1 Account Management
3.1.1 Users are required to:
- Provide accurate, current, and complete information during account registration
- Maintain the confidentiality of account credentials
- Promptly update any changes to account information
- Assume full responsibility for all activities conducted under their account
3.2 Acceptable Use
3.2.1 Users shall exclusively utilize the Services for lawful purposes consistent with these Terms.
3.2.2 Prohibited activities include, but are not limited to:
- Generating content that violates applicable laws or third-party rights
- Attempting to compromise the platform’s integrity or security
- Engaging in unauthorized data mining or reverse engineering
- Misrepresenting the purpose or origin of generated documents
4. FINANCIAL TERMS
4.1 Payment Processing
4.1.1 LegalGen utilizes Lemonsqueezy as the primary payment processor.
4.1.2 Users authorize LegalGen to charge applicable fees to the provided payment method.
4.2 Pricing and Billing
4.2.1 Service pricing is subject to change with prior notice.
4.2.2 All prices are exclusive of applicable taxes, which will be added at checkout where required.
4.3 Refund Policy
4.3.1 Refunds may be issued at LegalGen’s sole discretion.
4.3.2 No refunds will be provided for user error or misuse of the Services.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Platform Proprietary Rights
5.1.1 All intellectual property associated with the Services, including but not limited to software, design, graphics, and documentation, remains the exclusive property of LegalGen.
5.2 User Content
5.2.1 Users retain ownership of input content provided to generate documents.
5.2.2 Users grant LegalGen a limited, non-exclusive license to utilize input content solely for document generation purposes.
5.3 Usage Restrictions
5.3.1 Users are expressly prohibited from:
- Reproducing platform infrastructure
- Distributing platform components
- Creating derivative works without explicit written consent
6. LIABILITY AND WARRANTY DISCLAIMERS
6.1 Service Representations
6.1.1 The Services are provided “as-is” and “as available” without any explicit or implied warranties.
6.1.2 LegalGen does not guarantee the legal sufficiency, accuracy, or completeness of generated document templates.
6.2 Limitation of Liability
6.2.1 LegalGen’s maximum liability shall not exceed the total amount paid by the user in the preceding twelve (12) months.
6.2.2 The Company shall not be liable for:
- Indirect, consequential, or incidental damages
- Errors or omissions in generated content
- Unauthorized access to user accounts or data
7. TERMINATION AND SUSPENSION
7.1 User Termination
7.1.1 Users may terminate their account at any time.
7.1.2 LegalGen reserves the right to suspend or terminate user access without prior notice for:
- Violation of these Terms
- Engagement in prohibited activities
- Any conduct deemed detrimental to the platform’s interests
8. DISPUTE RESOLUTION
8.1 Governing Law and Jurisdiction
8.1.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
8.1.2 The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware for any legal proceedings arising from or related to this Agreement, except as provided in the Arbitration provisions below.
8.2 Binding Arbitration
8.2.1 Mandatory Arbitration
Except for claims that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through binding arbitration.
8.2.2 Arbitration Procedures
- The arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
- The arbitration will be administered by the AAA’s international rules if the dispute involves parties from different countries
- The arbitration will be conducted in English
8.2.3 Arbitration Tribunal
- The arbitration shall be conducted by a single neutral arbitrator
- The arbitrator shall be selected by mutual agreement of the parties
- If the parties cannot agree, the AAA will appoint the arbitrator in accordance with its Commercial Arbitration Rules
8.2.4 Limitations
- The arbitrator shall have the authority to award any remedy available under applicable law
- The arbitrator may grant any remedy that would have been available in court
- The arbitration award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction
8.3 Class Action Waiver
8.3.1 To the maximum extent permitted by law, any proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.
8.3.2 The parties waive any right to pursue disputes on a class-wide basis or to consolidate any dispute with other proceedings.
8.4 Cost and Expenses
8.4.1 Arbitration costs shall be allocated as determined by the arbitrator, with consideration given to the substantial prevailing party.
8.5 Confidentiality
8.5.1 The arbitration proceedings, including all documents and information related to the dispute, shall be kept strictly confidential by all parties.
8.6 Exceptions to Arbitration
8.6.1 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights.
9. MISCELLANEOUS PROVISIONS
9.1 Modifications
9.1.1 LegalGen reserves the right to modify these Terms at any time.
9.1.2 Continued use of the Services following modifications constitutes acceptance of updated Terms.
